1. Acceptance of Terms

By accessing or using any part of Gulf Formations’ services, including company formation, business setup consultations, document handling, or regulatory support, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please discontinue use of all Gulf Formations services and platforms immediately.

2. Definitions

In these Terms:

• "Gulf Formations" means Gulf Formations, a UAE-based business consultancy operating in Dubai, and its subsidiaries or affiliated entities.
• "Client" refers to any individual or business entity that engages with Gulf Formations for company incorporation, compliance, advisory, PRO, or support services.
• "Services" means all business setup, documentation, consultancy, and ancillary services provided by Gulf Formations.
• "Confidential Information" includes any proprietary, personal, or commercially sensitive data exchanged during service delivery.

3. Nature of Business and Services

Gulf Formations is a corporate service provider specialising in UAE mainland, free zone, and offshore company formation, as well as business advisory, document clearance, visa processing, and compliance support. Our services include, but are not limited to:

• Company registration, incorporation, and licensing in various UAE jurisdictions.
• Corporate structuring and advisory for foreign investors and entrepreneurs.
• Visa application, immigration liaison, and PRO support.
• Bank account opening assistance and regulatory compliance guidance.
• Document attestation, notarisation, and translation coordination.

All services are provided on a consultancy basis and do not constitute legal, tax, or investment advice unless otherwise specified in writing.

4. Eligibility and User Obligations

To access Gulf Formations’ services, you represent and warrant that:

• You are at least 18 years of age and have the authority to engage Gulf Formations on behalf of yourself or a legal entity.
• Your engagement with Gulf Formations does not violate any applicable laws, sanctions, or compliance restrictions in the UAE or your country of origin.
• All information you provide is true, accurate, and complete to the best of your knowledge.
• You will promptly provide additional documentation if required by Gulf Formations or relevant UAE authorities.
• You will inform us of any changes to your information that could affect your engagement.

5. Onboarding Process and Document Handling

Engagement with Gulf Formations begins with an initial consultation. Before proceeding, we may request:

• Identification documents (e.g. passport copy, visa copy, Emirates ID).
• Corporate documents (e.g. MOA, certificate of incorporation, board resolutions).
• Proof of address or bank statements for KYC and compliance purposes.

Gulf Formations does not guarantee the approval of any licence, visa, or service requested, as decisions ultimately rest with UAE government entities or financial institutions.

6. Fees, Expenses, and Reimbursements

Service fees are agreed in advance and may be outlined in a quotation or engagement letter. Fees are exclusive of government charges, translation, attestation, courier, or third-party expenses unless otherwise stated. These may include:

• UAE government fees, licensing costs, and authority charges.
• Translation, notary, or attestation fees.
• Courier, PRO travel, or third-party administrative costs.

Gulf Formations reserves the right to issue invoices for incurred expenses or deposits. Payment terms are typically due in advance and are non-refundable unless explicitly agreed in writing.

7. Confidentiality and Data Protection

Both parties agree to maintain the confidentiality of all shared non-public information. Specific responsibilities include:

• Not disclosing Confidential Information without prior written consent, except where legally required.
• Maintaining reasonable security measures to protect sensitive information.
• Complying with UAE Federal Decree-Law No. 45 of 2021 on Personal Data Protection (PDPL) and related legislation.
• Notifying the other party promptly in the event of any data breach or suspected unauthorised disclosure.

These obligations survive the termination of services for a period of five (5) years.

8. Intellectual Property

All branding, content, methodologies, documentation, and technology used or provided by Gulf Formations remain its sole property. You may not copy, reproduce, or repurpose any material without written permission.

9. Representations and Warranties

You warrant that:

• You are authorised to act on behalf of the entity (if applicable) seeking services from Gulf Formations.
• None of your submissions or activities infringe upon third-party rights or applicable laws.
• You will not misuse Gulf Formations services for any illegal, unethical, or misleading purposes.

10. Disclaimers and No Warranties

To the extent permitted by law:

• Services are provided “as is” and without any warranties, expressed or implied.
• Gulf Formations makes no guarantee of visa approval, bank account opening, or governmental licensing decisions.
• We are not liable for third-party delays, governmental rejections, or policy changes affecting your business setup.

11. Limitation of Liability

Gulf Formations shall not be liable for indirect, incidental, or consequential losses, including loss of profits, business interruption, or reputational damage arising out of or relating to our services. Our total liability in any matter shall not exceed the fees paid by you to Gulf Formations for the specific service in question.

12. Indemnification

You agree to indemnify and hold harmless Gulf Formations and its affiliates from any claim, liability, or loss arising from:

• Your use of our services in breach of these Terms or applicable laws.
• False, inaccurate, or misleading documentation submitted to authorities.
• Violations of third-party rights or legal obligations caused by your actions.

13. Termination and Suspension

Gulf Formations may suspend or terminate services with immediate effect if:

• You breach these Terms or any agreement with Gulf Formations.
• Illegal or suspicious activity is detected.
• A UAE authority or regulator requests suspension.
• Operational, legal, or strategic considerations require it.

Upon termination, all documentation provided to you must be returned or destroyed upon request. Any outstanding fees become immediately due.

14. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the United Arab Emirates. Any dispute shall first be addressed through amicable resolution. If unresolved, the matter shall be referred to the exclusive jurisdiction of the courts of Dubai, unless otherwise agreed in writing.

15. Amendments and Updates

Gulf Formations reserves the right to amend these Terms at any time. Changes will be posted to our website with a revised “Last updated” date. Continued use of our services constitutes your acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.

17. Waiver

No failure or delay in exercising any right shall be deemed a waiver unless explicitly acknowledged in writing.

18. Assignment

You may not assign your rights or obligations without prior written consent. Gulf Formations may assign or delegate its obligations at its discretion.

19. Entire Agreement

These Terms, along with any referenced documents such as our Privacy Policy or service agreements, constitute the full agreement between you and Gulf Formations.
